Terms of service

These terms govern your use of the Dineya website (dineya.co.uk) and, if you sign up, the Dineya software and services. By using our website or the service, you agree to these terms. If you're agreeing on behalf of a business, you confirm you're authorised to do so.
Who we are: Dineya Ltd ("Dineya") is a company registered in England and Wales (company number 17349919), with its registered office at 167-169 Great Portland Street, London W1W 5PF. We provide online ordering, point-of-sale and delivery-management software to takeaways and restaurants. Contact: support@dineya.co.uk.
Ordering food from a restaurant that uses Dineya? Your order and any contract for the food are with the restaurant, not Dineya — we only provide the software the restaurant uses to take your order. Questions about an order, or a refund, go to the restaurant.
The service
Dineya gives restaurant clients an online ordering storefront, a point-of-sale, caller-ID and delivery-management tools, and related features. We may add, change or remove features over time to improve the service. If a change materially reduces core functionality you rely on, we'll give clients reasonable notice.
Your account
To use the service as a client you'll create an account. You agree to give accurate information, keep it up to date, and keep your login credentials secure. You're responsible for activity under your account and for your staff users. Tell us promptly at support@dineya.co.uk if you suspect unauthorised access.
Plans, fees and billing
- Subscriptions are billed in advance on a recurring basis (monthly unless agreed otherwise) via our payment processor, Stripe.
- Fees are as shown on our pricing page or in your order/agreement. Prices exclude VAT unless stated.
- Some features are charged by usage (for example order text messages). Each unit is metered at the rate set out in your order/agreement at the time it's used, and billed monthly in arrears as a separate line on your next invoice. A monthly usage ceiling applies to your account; tell us if you'd like it changed.
- Hardware (e.g. a POS kit) is charged separately as set out at the point of sale.
- We may change pricing; we'll give at least 30 days' notice of changes to your recurring fee, and changes take effect at your next renewal.
- Fees are non-refundable except where required by law. If payment fails, we may suspend the service after reasonable notice until it's resolved.
- You can cancel your subscription at any time; it ends at the close of your current billing period and isn't pro-rated.
Taking card payments (Dineya Pay)
If you enable card payments, they're processed by Stripe using Stripe Connect. To use this you'll also enter into Stripe's Connected Account Agreement, and you're responsible for meeting its requirements (identity/business verification, acceptable use). Funds from your customers' card orders settle directly to your bank account — Dineya never holds your money. We apply a small per-transaction processing fee, shown to you before you switch it on. Refunds to your customers are your responsibility and can be issued from your dashboard. Card-scheme and Stripe processing costs may apply.
Your customers' data
When your customers order through your Dineya storefront, you are the data controller for their personal information and Dineya is your processor, handling it on your instructions to run the service. This is governed by our data processing terms, which form part of your client agreement. How Dineya handles data relating to you (as a website visitor or client) is set out in our privacy policy.
Acceptable use
You agree not to: use the service unlawfully or to break any regulation that applies to your business (including food-safety, consumer and tax rules); upload content you don't have the rights to; attempt to disrupt, overload, reverse-engineer or gain unauthorised access to the service; resell or sublicense it without our written agreement; or use it to send unlawful or unsolicited marketing. You're responsible for the accuracy of your menu, prices, allergen information and opening hours.
Availability and support
We work hard to keep the service available and reliable, but we don't guarantee it will be uninterrupted or error-free, and we may carry out maintenance (we'll aim to minimise disruption). Support is available by email at support@dineya.co.uk and via WhatsApp during business hours.
Intellectual property
Dineya (and its licensors) own the software, website, branding and all related intellectual property. While your subscription is active we grant you a non-exclusive, non-transferable licence to use the service for your business. You keep ownership of your own content — your menu, logo, and business and customer data — and you grant us the licence needed to host and display it to operate the service for you.
Hardware
Where we supply hardware (such as a POS kit), title, warranty and returns are as described at the point of sale. Hardware not paid for remains our property until paid in full. You're responsible for looking after hardware in your possession.
Termination
You may cancel at any time (see billing above). We may suspend or end the service if you materially breach these terms, don't pay, or use the service unlawfully — we'll give notice and a chance to fix things where reasonable. On termination your licence ends; you can request an export of your data within the window described in our privacy policy, after which we delete or anonymise it in line with our retention periods.
Warranties and liability
The service is provided on a commercially reasonable "as is" and "as available" basis. To the fullest extent permitted by law we exclude implied warranties. Nothing in these terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or data; and our total liability to you in any 12-month period is limited to the fees you paid us in that period. You remain responsible for your own tax, licensing and legal obligations as a food business.
Changes to these terms
We may update these terms from time to time. We'll post the current version here and update the date above; we'll notify clients of material changes by email. Continuing to use the service after a change means you accept the updated terms.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
